Terms of Service

Last updated: 2026-06-03. These Terms of Service ("Terms") govern your access to and use of Tokenade ("the Software"), provided by Paul Irolla operating as Tokenade, France ("we", "us"). By installing or using the Software you agree to these Terms.

1. Description of the Software

Tokenade is a tool that reduces AI coding agents' token consumption by compressing, routing, and caching context. It integrates with AI coding environments via an MCP server and/or proxy layer installed on your machine.

2. License grant

Subject to these Terms and payment of any applicable fees, we grant you a personal, non-exclusive, non-transferable license to install and use Tokenade on up to 3 machines ("seats") per active license. Each seat is tied to a hashed machine identifier verified at runtime.
  • Free tier: up to approximately 20 million tokens saved per month at no charge.
  • Pro tier: unlimited usage at the current subscription price (see Section 4), covering up to 3 seats.
You may not sublicense, resell, or distribute the Software or your license key.

3. Acceptable use

You agree not to:
  • Reverse-engineer, decompile, or attempt to extract the source code of Tokenade (except where permitted by applicable law)
  • Circumvent or tamper with seat-limit enforcement or license key validation
  • Use Tokenade in any manner that violates applicable laws or third-party rights
  • Share your license key publicly or with persons outside your direct use (e.g., a small personal team within the 3-seat limit is fine; selling or publicly posting the key is not)

4. Billing and subscription

Pro subscriptions are billed monthly via Stripe. Prices are:
  • France / EU: €9.90 TTC (including applicable VAT) per month
  • Other regions: $9.90 per month excluding local taxes
Prices are displayed in your account currency at checkout. Taxes may apply depending on your jurisdiction. Your subscription renews automatically until cancelled. Cancellation: You may cancel at any time from your account dashboard. Cancellation takes effect at the end of the current billing period; you retain Pro access until then. We do not issue prorated refunds for partial billing periods. EU withdrawal right: If you are an EU consumer, you have a statutory 14-day right of withdrawal from the date of your first subscription purchase, provided you have not yet used the Pro features. If you have used the service during that period, the right of withdrawal may be waived in accordance with Article 16(m) of the Consumer Rights Directive. Contact us via the contact page to exercise this right. Failed payments: If a payment fails, we will retry and notify you by email. After repeated failures, your subscription may be downgraded to the Free tier.

5. Free tier limitations

The Free tier is provided "as is" without service-level guarantees. We reserve the right to adjust Free-tier limits with reasonable notice.

6. Intellectual property

Tokenade and all related intellectual property remain the exclusive property of Paul Irolla / Tokenade. Nothing in these Terms transfers ownership to you. Your code, prompts, and AI outputs remain your property; we do not claim any rights over them.

7. Privacy

Our collection and use of your data is governed by our Privacy Policy, incorporated here by reference.

8. Disclaimer of warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TOKENADE AND ITS OPERATOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, OR BUSINESS, ARISING OUT OF OR RELATED TO YOUR USE OF THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 3 MONTHS PRECEDING THE CLAIM. Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded under French or EU law.

10. Termination

We may suspend or terminate your access if you materially breach these Terms. You may terminate by cancelling your subscription and deleting your account. Upon termination, your license ends immediately. Sections 7–12 survive termination.

11. Changes to the Terms

We may update these Terms from time to time. We will notify you by email or via a notice on the site at least 14 days before material changes take effect. Continued use after that date constitutes acceptance of the revised Terms.

12. Governing law and disputes

These Terms are governed by French law. Any dispute arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts of France, without prejudice to any mandatory consumer-protection rights you may have under the law of your country of residence.
