Terms of Service

These Terms of Service ("Terms") govern your access to and use of Tokenade ("the Software"), provided by Paul Irolla operating as Tokenade, France ("we", "us"). By installing or using the Software you agree to these Terms.

1. Description of the Software

Tokenade is a tool installed on your computer that reduces the tokens AI agents send to their model. It compacts command output, file reads, documents and tool results before they reach the agent, and integrates with supported agents through hooks, an MCP wrapper and an optional local LLM proxy. Compaction runs on your computer.

2. License grant

Subject to these Terms and payment of any applicable fees, we grant you a personal, non-exclusive, non-transferable license to install and use Tokenade on the number of machines ("seats") included in your plan. The Tokenade plan includes unlimited seats; the Enterprise plan includes the number of seats specified in your order. Each seat is tied to a hashed machine identifier verified at runtime. An account is required.

Tokenade plan: a payment card is required at signup. The first 7 days are a free trial, without limits and without any charge. After the trial, usage is billed as described in Section 4, with no cap and unlimited seats.
Enterprise: a Tokenade proxy for a team, with governance features (per-user limits, rights, administration, logging), on the terms and price agreed in your order.
Accounts created before 15 October 2026 on the former free plan: they keep a one-time free allowance of €10 of billable usage (calculated as in Section 4), counted from that date. Once it is used, compaction pauses until a payment card is added; the 7-day trial then applies.

You may not sublicense, resell, or distribute the Software or your license key.

3. Acceptable use

You agree not to:

Reverse-engineer, decompile, or attempt to extract the source code of Tokenade (except where permitted by applicable law)
Circumvent or tamper with seat-limit enforcement or license key validation
Use Tokenade in any manner that violates applicable laws or third-party rights
Share your license key publicly or with persons outside your direct use (e.g., a small personal team within your plan's seat allowance is fine; selling or publicly posting the key is not)

4. Billing and subscription

Subscriptions are billed via Stripe. Prices are:

Tokenade plan: after the 7-day free trial, 1% of the API value of the tokens Tokenade saves, excluding VAT. The API value is calculated with the public list price of the model that did the work, for each kind of token (input, cache, output); this amounts to 1% of the model's input price per million tokens saved (for example $0.02 per million tokens saved excl. VAT). Usage is measured continuously and billed monthly. Customers billed in euros are charged the euro equivalent at the day's exchange rate. The per-model rates are published on the pricing page.
Referral credit: an account created with a referral code receives a one-time credit of €20 (or $20), applied to its invoices before any charge.
Enterprise: custom pricing as agreed in your order form or quote — book a call.

Prices exclude VAT; VAT or other taxes are added at checkout where they apply, depending on your country and status. Your subscription renews automatically until cancelled. We send a reminder by email before the end of the free trial.

Change of plan on 15 October 2026: Pro subscriptions taken under the former pricing switch automatically to the Tokenade plan at their next renewal date, with no action required; the new pricing costs less than the former Pro price in every case. Until that date, the former Pro subscription stays in force, without its monthly cap.

Cancellation: You may cancel at any time from your account dashboard (billing portal). Cancelling during the free trial means nothing is charged. Otherwise, cancellation takes effect at the end of the current billing period, and the usage of that period is billed.

EU withdrawal right: If you are an EU consumer, you have a statutory 14-day right of withdrawal from the date of your subscription. By using the service during that period, you request that it starts immediately; if you withdraw, you only pay for the usage already measured, which is nothing during the free trial. Failed payments: If a payment fails, Stripe retries and we notify you by email. If payment cannot be collected, the subscription ends and compaction pauses until a valid payment method is added.

5. Service level

The Software is provided without service-level guarantees, except where an Enterprise order provides otherwise. We will announce any change to the pricing with reasonable notice, by email and on the pricing page.

6. Intellectual property

Tokenade and all related intellectual property remain the exclusive property of Paul Irolla / Tokenade. Nothing in these Terms transfers ownership to you. Your code, prompts, and AI outputs remain your property; we do not claim any rights over them.

7. Privacy

Our collection and use of your data is governed by our Privacy Policy, incorporated here by reference.

8. Disclaimer of warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED.

Tokenade masks credentials it recognises in the output it handles. This is a best-effort protection: no tool can recognise every credential format, and Tokenade does not act when it is not running. You remain responsible for protecting your secrets.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TOKENADE AND ITS OPERATOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, OR BUSINESS, ARISING OUT OF OR RELATED TO YOUR USE OF THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 3 MONTHS PRECEDING THE CLAIM.

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded under French or EU law.

10. Termination

We may suspend or terminate your access if you materially breach these Terms. You may terminate by cancelling your subscription and deleting your account. Upon termination, your license ends immediately. Sections 7–12 survive termination.

11. Changes to the Terms

We may update these Terms from time to time. We will notify you by email or via a notice on the site at least 14 days before material changes take effect. Continued use after that date constitutes acceptance of the revised Terms.

12. Governing law and disputes

These Terms are governed by French law. Any dispute arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts of France, without prejudice to any mandatory consumer-protection rights you may have under the law of your country of residence.
